Registering a business partnership: ownership and document checklist

To register a business partnership name in Zambia, first identify the partners and proposed business name, then use PACRA’s prescribed application route. PACRA’s service page specifies a completed and signed Business Name Form III and identifies the resulting document as a Certificate of Registration. Treat tax registration as a separate follow-on task, and check additional ownership disclosures where a corporation is involved.

A business-name registration is not the same thing as incorporating a company or settling every agreement between partners. The current evidence must also include the Registration of Business Names amendment effective from January 2026; the original 2011 Act alone does not describe every current disclosure requirement. PACRA business-name registration, 2025 amendment.

Which partnership and name are you registering?

Start by listing the actual participants. The 2011 Act’s definition of a firm covers an unincorporate body of individuals, individuals together with corporations, or corporations entering partnership to carry on business for profit. That distinction matters because the current disclosure provisions attach specific conditions to corporate involvement.

Next, write the proposed trading name separately from the partners’ legal names. Section 4 of the Act describes registration conditions involving business names that differ from the relevant true surnames or corporate names, with qualifications and exceptions. Do not turn that into the unqualified claim that every shared business activity requires the identical application regardless of its name or structure. Registration of Business Names Act, 2011.

Record the proposed activity and principal business address as well. These should describe the business being registered, rather than a future business someone hopes to add. If the structure includes another organisation, identify that organisation accurately rather than entering an individual contact as though they were the partner themselves.

Keep name registration and partnership governance distinct. Agree how the partners intend to handle decisions, contributions, authority and departure, but do not describe an internal agreement as a substitute for PACRA’s prescribed documents. Conversely, a certificate does not demonstrate that the partners have agreed all those operating questions.

What documents should you prepare for PACRA?

PACRA’s published service information calls for a completed and signed Application for Registration of a Business Name, Business Name Form III, for manual and online applications. It identifies a PACRA Certificate of Registration as the output. Use the current form obtained through PACRA’s official forms route, rather than reconstructing it from a blog checklist.

Before submission, compare the completed form against the actual partner and business records. Where the form requests a declaration or signature, establish who is making it and with what authority. The Act also allows the Registrar to request further relevant information. A preparatory checklist therefore cannot guarantee that no additional document will be required for your case.

Use this original preparation table to organise the evidence. It is a working aid, not an assertion that every row is a separately prescribed attachment.

Preparation item What to establish Boundary to preserve
Partners Actual individual or corporate participants Contact person is not automatically the partner
Proposed name Trading name compared with legal names Name choice is not approval
Activity and address What the business does and where Avoid an invented or borrowed address
Form III Current form completed and signed Use the official form, not a substitute worksheet
Corporate involvement Whether additional ownership disclosure applies Do not impose corporate wording indiscriminately
Registration result Certificate and submitted application retained Certificate is not proof of completed tax work

Do not substitute a website, social profile or logo for the registration evidence. Those can present a business publicly, but they do not show that the Registrar accepted an application.

What changed in the ownership rules for 2026?

The 2025 amendment states that it came into operation on 1 January 2026. Its inserted application provision concerns a corporation intending to register a firm. It calls for accurate, adequate and up-to-date beneficial-ownership information and an applicant declaration concerning the consent of the people whose particulars are submitted. Enacted amendment.

The listed particulars include full names, date of birth, nationality, residential address, the applicable national registration or valid passport number, country of residence and other prescribed particulars. Handle these through the authority’s proper submission route. Do not put identity documents or residential details in an ordinary website enquiry.

The amendment also adds beneficial-ownership information and financial statements to annual returns in the case of a firm that is a corporation. Preserve that wording when discussing the requirement. It should not become a universal claim that every ordinary partnership of individuals has the same corporate disclosure obligation.

If your structure does not fit the wording clearly, ask PACRA to identify the applicable filing route for those actual participants. Do not invent an ownership threshold or decide that a corporate partner can be omitted because an individual is the main contact. This guide explains the documentary distinction; it does not certify a particular filing as legally complete.

How does the ZRA step differ?

ZRA’s Business Registration Requirements page has a specific Business Name / Partnerships heading. It directs applicants to amend an existing individual TPIN and lists Form 5, the PACRA registration certificate, Form 3 for business-name registration or re-registration, and a sketch map of the business address. ZRA registration requirements.

Keep that list attached to the tax procedure. It does not turn Form 5 into the universal PACRA partnership-creation application, and it does not mean a tax record alone registers the partnership name. The same page describes company routes separately; do not transplant those company instructions into the business-name section.

If an existing tax record does not match the partners or registered details, preserve the discrepancy and seek the authority’s applicable instruction. Avoid opening duplicate records simply to make a checklist look complete. Record which authority requested a correction and retain the resulting reference.

An original registration-to-record handover

Build a short handover record with these fields:

Identity: Participants, proposed structure and the authoritative records used to complete their details.

Application: Form version, submitted name and activity, signatory and submission reference.

Ownership branch: Corporate involvement, applicable disclosure instruction and where the authorised evidence is retained.

Outcome: Certificate details or the Registrar’s actual request for correction; do not mark a pending application registered.

Tax follow-on: Applicable ZRA route, documents supplied and unresolved differences.

Maintenance: Person responsible for annual returns and reporting changes in ownership, address, activity or partner names.

The 2011 Act requires annual returns and notification of changes to registered particulars; the 2025 amendment adds scoped corporate ownership provisions. Registration is therefore not the end of record maintenance. Retain the accepted application alongside subsequent changes so public business information does not drift from the registered record.
